These Terms form a binding agreement between you and BREVIETY ADVISORY PARTNERS LLP when you use Techies Solutions.

These Terms of Service ("Terms") govern your access to and use of the Techies Solutions platform and website (the "Platform"), operated by BREVIETY ADVISORY PARTNERS LLP ("we", "us", "our"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Eligibility & Account

• You must be at least 18 years old and authorised to act on behalf of the business you register.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• You must provide accurate, current information and keep it updated.

2. Description of Service

Techies Solutions provides a software platform built on the official WhatsApp Business API that enables businesses to send broadcasts, build chatbots, manage a shared inbox, run a CRM, accept payments, and integrate with third-party tools. Specific features depend on the plan you subscribe to.

3. WhatsApp & Meta Compliance

Your use of WhatsApp messaging through the Platform is subject to Meta's WhatsApp Business Terms, the WhatsApp Business Messaging Policy, and WhatsApp Commerce Policy. You agree to:

• Obtain valid opt-in consent before messaging any contact.
• Not send spam, prohibited content, or messages that violate Meta's policies.
• Accept that Meta may restrict, suspend, or ban numbers that breach its rules, and that such actions are outside our control.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful, fraudulent, or deceptive purpose.
• Send unsolicited bulk messages or harvest contacts without consent.
• Transmit malware, attempt to gain unauthorised access, or disrupt the Platform.
• Resell or sublicense the Platform without our written permission.
• Infringe the intellectual property or privacy rights of others.

We may suspend or terminate accounts that violate these rules.

5. Fees & Payment

• Subscription fees are billed annually as described on our pricing page and are payable in advance.
• Meta conversation charges are billed separately by Meta based on message category and country. We pass these through at cost with no markup.
• All fees are exclusive of applicable taxes unless stated otherwise. GST is charged as required.
• Fees are non-refundable except as set out in our Refund Policy.

6. Customer Data & Responsibilities

You retain ownership of the data you upload and the messages you send. You are solely responsible for the content of your communications and for complying with all laws applicable to your business, including data protection and consumer protection laws. You grant us a limited licence to process your data solely to provide the Platform.

7. Third-Party Integrations

The Platform integrates with third-party services (such as Shopify, Zoho, Razorpay, and others). We are not responsible for the availability, accuracy, or practices of these third parties. Your use of integrations is subject to their respective terms.

8. Service Availability

We strive to keep the Platform available and reliable but do not guarantee uninterrupted access. The Platform may be unavailable during maintenance, updates, or due to factors beyond our control, including Meta/WhatsApp downtime.

9. Intellectual Property

The Platform, including its software, design, and content (excluding your data), is owned by BREVIETY ADVISORY PARTNERS LLP and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Platform.

10. Termination

You may cancel your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Platform in a way that risks harm to us, other users, or Meta's policies. Upon termination, your right to use the Platform ends and we may delete your data per our Privacy Policy.

11. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant any specific results, message delivery rates, or business outcomes.

12. Limitation of Liability

To the maximum extent permitted by law, BREVIETY ADVISORY PARTNERS LLP shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data. Our total liability for any claim shall not exceed the fees you paid to us in the twelve months preceding the claim.

13. Indemnity

You agree to indemnify and hold BREVIETY ADVISORY PARTNERS LLP harmless from any claims, damages, or expenses arising out of your use of the Platform, your content, or your breach of these Terms or applicable laws.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in India, at the registered office of BREVIETY ADVISORY PARTNERS LLP.

15. Changes to These Terms

We may modify these Terms from time to time. We will post the updated version with a new "Last updated" date. Continued use of the Platform after changes means you accept the revised Terms.
